Several conditions and elements are necessary to ensure the correct, optimal, and lawful connection of supply and demand in the market space. One of the most important essential elements in this regard is the correct circulation of information. However, in practice and in real market space, there are numerous complexities that threaten the correct circulation of information between the supply and demand parties. The correct circulation of information is sometimes jeopardized by the failure to provide the necessary information, and sometimes one of the parties to the transaction provides incorrect information to persuade the other party. In this situation, legal systems by establishing and applying rules, try to restore this lost order to its original position. The Iranian legal system has also established numerous laws and regulations to ensure the correct circulation of information and to confront deceptive behaviors in the market. The most important set of regulations that has been approved in this regard and has organized the regulation of a significant majority of businesses is the Country's Guild System Act. A review of this law shows that the way to deal with business’s violations is based on very traditional mechanisms which are not only not in line with the current state of businesses, but also lack any legal and economic coherence and logic. Therefore, the lack of sufficient attention to carrying out the necessary reforms in this regard will seriously hinder the legal system's tools for dealing with deceptive practices in the market. This research, with an analytical and applied approach, seeks to diagnose the pathology of the laws and regulations in this area and find solutions to eliminate these shortcomings that will ensure better protection of public rights.
